MindGeek Labs' Terms of Agreements

Introduction

This Agreement (“Agreement”) is entered into between MindGeek Labs, hereinafter referred to as the “Company,” hereinafter referred to as the “Client,” collectively referred to as the “Parties.”

Services offered

MindGeek Labs specializes in Mobile App Engineering, Web Engineering, Software Engineering, UX/UI Design, Advisory, Training, and Workshops. We are also not limited to iOS or Android platforms. Please see our About section to find out more details.

Scope of work

A detailed scope of work, including project specifications, timelines, and deliverables, will be provided in a separate document, commonly referred to as a “Statement of Work” (SOW). This SOW will be an integral part of this Agreement.

Payment Terms and Agreements

1. Pricing: The pricing for services shall be outlined in the SOW. Any additional work outside the scope of the SOW will be subject to negotiation and may require a separate agreement.
2. Payment Schedule: Payments shall be made according to the payment schedule outlined in the scope of work (SOW).
3. Late Payments: In the event of late payments, our company of MindGeek Labs reserves the right to halt work on the project until all outstanding payments are received.

Intellectual property

All intellectual property, including but not limited to source code, designs, and branding materials, developed by the Company for the Client shall remain the property of the Client upon full payment of all fees.

Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary information shared during the course of the project.

Termination

This Agreement may be terminated by either party in accordance with the termination provisions outlined in the SOW or for cause, including but not limited to a breach of contract or insolvency.

Liability

The Company shall not be liable for any indirect, consequential, or incidental damages resulting from the use of its services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of United States of America, NY, New York.

Entire agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings, whether written or verbal.

Amendment

Any changes or amendments to this Agreement must be made in writing and signed by both Parties.

Acceptance

By engaging in business with the Company, the Client acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
